Applies To: Authorized users accessing TOLIReview under an executed Enterprise Agreement with Financial Planner AI, LLC.
TOLIReview is an AI-powered fiduciary review tool for trust-owned life insurance policies, operated by Financial Planner AI, LLC ("FPAI," "we," "us," or "our"), a New Jersey limited liability company. TOLIReview analyzes carrier in-force illustrations against a trust's stated purpose, authority, and coverage need and produces structured fiduciary review documentation for use in trust administration, committee review, and professional file documentation.
These Terms do not replace or modify any executed Enterprise Pilot Agreement, Master Services Agreement, Order Form, or similar written agreement between FPAI and a licensed enterprise (each, an "Enterprise Agreement"). In the event of any conflict between these Terms and an executed Enterprise Agreement, the Enterprise Agreement governs in all respects.
TOLIReview is not offered for general public, consumer, or self-service direct access. Access is limited to authorized users whose organization has entered into an Enterprise Agreement with FPAI.
TOLIReview provides analytical tools designed to support professional judgment. It does not provide legal, tax, financial, investment, fiduciary, or insurance advice of any kind. It is not a substitute for the professional judgment of a licensed attorney, CPA, trustee, financial advisor, or insurance professional.
TOLIReview does not make fiduciary, legal, tax, investment, insurance, product, replacement, surrender, purchase, or client-facing recommendations. It generates structured findings, review considerations, carrier questions, and documentation prompts to support professional review. All professional judgments, fiduciary decisions, and client-facing determinations remain the sole responsibility of the qualified professional and their firm.
FPAI's services are technology services only and are not professional services requiring licensure as an insurance producer, broker-dealer, investment adviser, certified financial planner, attorney, accountant, actuary, or fiduciary.
TOLIReview is not affiliated with, endorsed by, or approved by any regulatory authority, trust administrative body, or fiduciary standards organization. References to UPIA, OCC 12 CFR 9.5, OCC 12 CFR 9.6, or similar fiduciary process standards describe the design intent of the report format only and do not constitute legal certification, regulatory approval, or a determination of fiduciary compliance.
Access is limited to qualified professionals designated by the licensed enterprise under the applicable Enterprise Agreement, including estate planning attorneys, independent trustees, CPAs, and authorized staff of BGAs, RIAs, carriers, advisory firms, and broker-dealers. Authorized users are designated by the licensed enterprise. Credentials are personal and may not be shared.
You may use TOLIReview solely to analyze trust-owned life insurance policy illustrations in connection with your professional responsibilities, generate fiduciary review documentation for trust files and committee records, and share reports with trustees, CPAs, attorneys, and other fiduciary professionals for trust administration purposes consistent with applicable trust law.
When you share a TOLIReview report with a recipient professional, that sharing does not create a license or user relationship between FPAI and the recipient. The recipient's use is subject to the output restrictions in Section 5. You remain responsible for ensuring that sharing is consistent with your confidentiality obligations and the terms of the underlying trust instrument.
TOLIReview applies automated best-effort technology to identify and remove common personal identifiers from uploaded policy illustrations before AI processing. This redaction is not architecturally enforced client-side and does not provide the same level of certainty as a client-side redaction architecture. Automated redaction is not perfect and may fail to identify all personal information.
You are solely responsible for determining whether to upload any document, whether information should be redacted prior to upload, and for compliance with applicable privacy and confidentiality regulations, including GLBA, state trust privacy laws, and professional conduct rules.
Uploaded documents are processed using FPAI systems and enterprise-grade third-party infrastructure providers, including cloud hosting, database services, and AI processing services. All processing is configured for United States-based infrastructure where supported by providers. AI providers are contractually restricted from using submitted data for model training. AI providers may retain submitted inputs and outputs for limited periods for service operation, abuse monitoring, security, or legal compliance in accordance with their applicable API data processing terms. FPAI will not opt in to model training or data-sharing programs.
You may delete uploaded illustrations and generated reviews where deletion controls are available, or request deletion by contacting rpc@financialplanner-ai.com. Infrastructure providers may retain deleted data in backup systems for up to 90 days. For enterprise users, data retention and deletion are governed by the applicable Enterprise Agreement.
TOLIReview, including all software, analytical frameworks, methodologies, report structures, scoring logic, intake design, duration adequacy methodology, and underlying architecture, constitutes proprietary intellectual property of FPAI.
Except as expressly permitted in an Enterprise Agreement, you may not: reverse engineer, decompile, or attempt to derive the underlying methodology or analytical frameworks; use TOLIReview outputs to develop, train, or commercialize competing products or AI systems; redistribute, resell, or commercialize reports beyond their intended professional and fiduciary use; or modify reports to remove FPAI attribution or proprietary markings.
TOLIReview reports are licensed for professional fiduciary use only. All other rights are reserved by FPAI.
Information regarding TOLIReview's design, pricing, capabilities, and methodology is confidential and proprietary. Such information may not be disclosed to third parties without FPAI's prior written consent, except as required by law. This restriction does not prohibit sharing generated reports as permitted under Section 3, provided such sharing is consistent with applicable confidentiality obligations, the governing trust instrument, and the output restrictions in Section 5.
Unless otherwise agreed in an executed Enterprise Agreement, TOLIReview is provided on an "as-is" and "as-available" basis.
FPAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement, except to the extent expressly provided in an executed Enterprise Agreement. FPAI does not warrant that TOLIReview will be uninterrupted, error-free, or that AI-generated analyses will be accurate, complete, or applicable to any specific trust or policy situation.
FPAI's total aggregate liability arising out of or related to these Terms shall not exceed the greater of: (a) fees actually paid by you to FPAI during the twelve months preceding the claim, or (b) one thousand U.S. dollars ($1,000). For users operating under an executed Enterprise Agreement, the liability terms of that agreement govern.
In no event shall FPAI be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for loss of profits, revenue, goodwill, data, professional liability claims, fiduciary claims, or other intangible losses, even if advised of the possibility.
No individual member, manager, officer, or employee of FPAI shall have personal liability under these Terms. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless FPAI from any claims, damages, losses, liabilities, costs, and expenses arising from: your use of TOLIReview; your breach of these Terms; your violation of any applicable law, regulation, or professional conduct rule; any documents you upload; or any professional judgments, fiduciary decisions, or client-facing actions you take based on TOLIReview outputs.
FPAI may suspend or revoke access at any time upon notice. FPAI may immediately suspend access without notice for breach of these Terms or use in violation of applicable law.
Upon termination, access ceases immediately. You may retain previously generated reports solely for trust file documentation, professional recordkeeping, and legal compliance, subject to the output restrictions in Section 5 and confidentiality obligations in Section 6. For users operating under an Enterprise Agreement, termination and data handling are governed by that agreement. Sections 2, 5, 6, 7, 8, 9, and 11 survive termination.
Governing Law: New Jersey law, without regard to conflict of law principles. For users operating under an executed Enterprise Agreement, the governing law and dispute resolution provisions of that agreement apply.
Dispute Resolution: Any dispute arising out of these Terms shall be resolved in the state or federal courts located in New Jersey. Before initiating any formal proceeding, you agree to attempt informal resolution for at least 30 days.
Entire Agreement: For users operating under an executed Enterprise Agreement, that agreement governs access to TOLIReview. These Terms apply only to the extent not inconsistent with that agreement. In the event of a conflict, the Enterprise Agreement controls.
Amendments: FPAI may update these Terms from time to time. Material changes will be reflected by updating the effective date. For users operating under an Enterprise Agreement, amendments to these Terms do not modify the terms of that agreement without mutual written consent.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
